Our Process

01

Introductory Call

We’ll start with a brief phone or video call to get to know each other. We want to hear your story, understand your company, and learn about your goals to determine whether there is a strong fit.

Initial Financial Review and Preliminary Offer

After signing a non-disclosure agreement (NDA), we’ll request basic financial information to better understand your business. We’ll also arrange an in-person meeting to continue building the relationship.
 
Following our review, we’ll share a preliminary offer to help guide conversations around valuation and structure.

Letter of Intent (LOI)

If there is mutual interest in moving forward, we’ll submit a non-binding Letter of Intent. This document outlines key deal terms, including a proposed purchase price or range, and requests a short exclusivity period (typically 60 to 90 days) to conduct due diligence.

Due Diligence

During this phase, we take a deeper look at the business including financials, operations, legal matters, and HR with the help of trusted advisors. We’ll also work together to begin shaping a transition plan.
 
We know this stage can be complex, so we prioritize clear communication, transparency, and empathy throughout.

Closing and Transition

Once all parties are aligned, we sign the purchase agreement, transfer funds, and begin the transition. Our commitment doesn’t stop at closing. We work side by side with you to ensure a smooth handoff for your team, customers, and vendors while preserving the culture and legacy you’ve built.
